The One Question M&A Experts Wish Sellers Would Ask

The Gene Townley Commentaries

On a recent Price of Business show, Host Kevin Price interviewed Gene Townley.

In this episode of the Price of Business Show, host Kevin Price speaks with Gene Townley, founder and principal of Dynamite Brokers (TNT Business Brokers) and a top M&A expert. They discuss the reality of selling a business versus common misconceptions created by online advice and AI.
Key highlights from the conversation include:
  • The Reality of Closing Timelines: Many business owners assume a deal closes within a week or two after going under contract. Gene explains that due diligence, lender approvals, and closing procedures usually take much longer—often 8 to 9 months.
  • The Danger of Unqualified Buyers: Up to 70% of prospective buyers are not serious candidates. Negotiating directly with competitors or non-serious buyers often wastes years and yields offers significantly below market value.
  • Case Study (Concrete Company): Gene highlights a recent concrete business sale where the owner spent 3 years negotiating with a competitor offering $2.5 million for a $6 million business. After TNT Business Brokers evaluated and listed the business properly, they generated multiple full-price offers within 2 weeks.
  • Protecting Business Operations & Data: Attempting to field dozens of inquiries directly drains the owner’s time, hurts profitability, and risks sensitive financial and operational data being shared with bad actors or fraudsters.
  • The Value of an M&A Broker: Working with an expert intermediary protects the seller’s interests, filters unqualified inquiries, and ensures the business sells for its full market value.

Gene has been self employed all his life and has owned over 20 businesses with his wife of 26 years, Wyndee, in numerous industries. They have built several businesses that they sold and are therefore very familiar with the seller’s experience and what to expect. In this same 30 years of entrepreneurial experience they have bought numerous businesses and can help buyers through the process and emotions with ease. In negotiating a sale or purchase it is a “give and take” where both the seller and the buyer have their needs met. Gene has over 15 years in the business to business marketing and sales which has allowed him to experience and understand most industries.
